We prepare a Directors' Resolution in Writing to approve the transfer and the issue of new share certificate(s), an authorization letter for the transfer and Share Transfer Form

Based on the latest account, we work out the stamp duty to be paid and prepare Form E4A- stamp duty registration form, e-file the shareholders' changes to ACRA. and new certificates for the new shareholders

Company Incorporation

1. Pre-Incorporation

- Form 45 ( consent to act as Directors).
- Form 45B (consent to act as secretary).
- Form 49 ( appt of Directors, Auditor and Secretary).
- Form 24 (return of allotment).
- Form 25 (if the paid-up capital is NON-cash).
- Form 44 (registered address).
- Memorandum and Articles of Association.
- Share Application Form.

2. Incorporation
Upon receipt of confirmation from ACRA that the in-principle proposed name is
accepted, and signed documents received, we will proceed to

- e-file the incorporation.

- E-file all the information for Form, 45, 45B, 44, 49, 24 and 25.with ACRA

3. Post Incorporation
- We order common seal

- We prepare the First Directors' Resolution in Writing (This is ONLY possible if M & A or Company Articles allowed) Otherwise, we prepare Notice to First Directors' Meeting to be held and draft minutes.
